mAIkerplace Terms of Service

1. Introduction

Welcome to mAIkerplace ("Platform," "we," "us," or "our"). By accessing or using our marketplace at www.maiker.place, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

mAIkerplace is a marketplace where individuals ("Sellers") can sell software applications, tools, and utilities ("Apps") they have created, and other individuals ("Buyers") can purchase and download those Apps.

mAIkerplace is owned and operated by RiskActiv, LLC, a New Hampshire limited liability company. When you complete seller onboarding through Stripe, you will see RiskActiv, LLC identified as the platform operator.

2. Eligibility

You must be at least 18 years old to use this Platform. By using mAIkerplace, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Accounts

3.1 Registration

To buy or sell on mAIkerplace, you must create an account with accurate and complete information. You may register using email/password or through third-party authentication (GitHub or Google). You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Account Verification

Users who link their GitHub or Google accounts receive enhanced verification status. Verified Sellers display a badge on their listings, helping Buyers identify trusted sellers.

4. The Marketplace

4.1 Platform Role

mAIkerplace is a platform connecting Sellers and Buyers. We are not a party to transactions between Sellers and Buyers. We do not create, own, or endorse any Apps listed on the Platform.

4.2 Transaction Model

All App purchases are one-time transactions. Buyers receive a downloadable copy of the App's source code. There are no subscriptions, ongoing support obligations, or update guarantees unless explicitly stated by the Seller.

5. Seller Terms

5.1 Eligibility to Sell

To sell on mAIkerplace, you must complete our seller onboarding process, including connecting a valid Stripe account for payment processing.

5.2 Listing Requirements

When listing an App, Sellers must:

  • Provide accurate descriptions of the App's functionality
  • Disclose all known limitations or requirements
  • Only list Apps they have the right to sell
  • Not list Apps that contain malicious code, malware, or security vulnerabilities

5.3 Intellectual Property

Sellers represent and warrant that:

  • They own or have the necessary rights to sell each App
  • The App does not infringe on any third party's intellectual property rights
  • Any third-party libraries or components are properly licensed

5.4 Pricing and Platform Fees

Sellers set their own prices, with a minimum of $1.00 per App. Free Apps ($0.00) are also permitted.

mAIkerplace charges a platform fee on each sale, which varies based on when the Seller joined:

  • Launch Period (Limited Time): 0% platform fee for all Sellers
  • Early Adopters: Sellers who complete onboarding during the launch period receive a permanent 5% platform fee
  • Standard Rate: Sellers who join after the launch period ends pay a 10% platform fee

The applicable fee is deducted from each sale, and the remainder is paid to the Seller via Stripe Connect.

5.5 License Granted to Buyers

Unless otherwise specified, Sellers grant Buyers a non-exclusive, non-transferable license to use, modify, and deploy the App for personal or commercial purposes. Buyers may not resell or redistribute the App.

5.6 New Seller Requirements

To maintain platform quality and security:

  • First Listing Review: Your first listing requires approval by mAIkerplace before it goes live. Subsequent listings are published immediately.
  • Earning Limits: New Sellers are limited to $500 in total sales during their first 30 days on the platform. This limit resets after 30 days.
  • Verification: Sellers who verify their identity via GitHub or Google receive a "Verified Seller" badge on their listings.

These measures help protect Buyers and maintain trust in the marketplace.

6. Buyer Terms

6.1 Purchase

When you purchase an App, you receive:

  • A downloadable copy of the source code
  • The license rights specified by the Seller (see Section 5.5)

6.2 No Guarantees

Apps are sold "as-is." mAIkerplace does not guarantee that any App will:

  • Be free of bugs or errors
  • Meet your specific requirements
  • Be compatible with your systems
  • Receive updates or support from the Seller

6.3 Buyer Responsibilities

Buyers are responsible for:

  • Reviewing App descriptions and requirements before purchase
  • Deploying and maintaining the App post-purchase
  • Ensuring the App meets their needs

6.4 Download Limits

To prevent abuse, downloads are subject to rate limiting. Excessive download attempts may be temporarily blocked.

7. Payments

7.1 Payment Processing

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service.

7.2 Refunds

Due to the digital nature of the products (downloadable source code), all sales are final. Refunds may be issued at mAIkerplace's sole discretion in cases of:

  • Technical issues preventing download
  • Materially misrepresented App functionality
  • Duplicate purchases

Buyers should carefully review App descriptions before purchasing.

7.3 Seller Payouts

Sellers receive payouts according to Stripe Connect's standard payout schedule, minus the applicable platform fee.

7.4 Chargebacks and Disputes

If a Buyer disputes a charge with their bank (chargeback), the Seller's payout may be reversed. Sellers with excessive chargebacks may have their accounts suspended or banned.

8. Prohibited Content and Conduct

8.1 Prohibited Apps

  • Malware, viruses, or malicious code
  • Apps designed for illegal purposes
  • Apps that infringe intellectual property rights
  • Apps containing adult or explicit content
  • Apps promoting violence or hate

8.2 Prohibited Conduct

  • Creating false or misleading listings
  • Manipulating reviews or ratings
  • Circumventing platform fees
  • Harassing other users
  • Attempting to exploit the Platform's systems
  • Creating multiple accounts to evade restrictions

8.3 Account Suspension and Bans

mAIkerplace may suspend or permanently ban accounts that violate these Terms. Banned users:

  • Cannot access the Platform or create new accounts
  • Have their listings hidden from the marketplace
  • Forfeit any pending payouts (which may be used to cover chargebacks or refunds)
  • Remain liable for any obligations arising from their prior use of the Platform

We may suspend or ban accounts without prior warning for serious violations.

9. Intellectual Property

9.1 Platform IP

mAIkerplace and its original content, features, and functionality are owned by RiskActiv, LLC and are protected by intellectual property laws.

9.2 User Content

Sellers retain ownership of their Apps. By listing an App, Sellers grant mAIkerplace a non-exclusive license to display, promote, and facilitate the sale of the App on the Platform.

10. Disclaimers

10.1 Platform Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 App Disclaimer

mAIKERPLACE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY APP SOLD ON THE PLATFORM. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE OR LOSS RESULTING FROM YOUR USE OF ANY APP.

10.3 AI-Assisted Creation

Many Apps on mAIkerplace are created with AI assistance. mAIkerplace makes no representations about the origin, quality, or suitability of AI-assisted code. Buyers use AI-generated Apps at their own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAIKERPLACE AND RISKACTIV, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MAIKERPLACE IN THE PAST 12 MONTHS, OR (B) $100.

12. Indemnification

You agree to indemnify and hold harmless mAIkerplace, RiskActiv, LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any App you list or purchase

13. Dispute Resolution

13.1 Between Buyers and Sellers

Disputes between Buyers and Sellers should first be resolved directly between the parties. mAIkerplace may, at its discretion, mediate disputes but is not obligated to do so.

13.2 With mAIkerplace

Any disputes with mAIkerplace shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

14. Termination

14.1 By You

You may terminate your account at any time through the account settings or by contacting us.

14.2 By Us

We may suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice.

14.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • Buyers retain licenses to previously purchased Apps
  • Sellers remain responsible for previously sold Apps
  • Any pending payouts may be held to cover potential chargebacks
  • Provisions that should survive termination will survive

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use after changes constitutes acceptance of the new Terms.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

16.3 Entire Agreement

These Terms constitute the entire agreement between you and mAIkerplace regarding the Platform.

16.4 Waiver

Failure to enforce any right or provision of these Terms shall not constitute a waiver.
